The Short Version

These Terms set out the ground rules for shopping with Codae — who can order, how pricing and pre-orders work, what happens if something goes wrong, and how we handle the content you share with us. By using codae.ca or placing an order, you're agreeing to them.

1. Introduction & Eligibility

INTRODUCTION
Welcome to Codae ("Codae," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of codae.ca (the "Site") and any purchases you make through it. By accessing the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.

Codae is a sole proprietorship operating in Ontario, Canada under the legal business name Codae.

ELIGIBILITY
You must be at least the age of majority in your province of residence (18 in most provinces, 19 in some) to place an order, or have a parent or guardian's permission to do so.

2. Products, Pricing

PRODUCT INFORMATION
All product descriptions, images, and prices are as accurate as possible at the time of posting, but we do not warrant that they are error-free. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information at any time without prior notice.

PRICING
Prices are listed in Canadian dollars (CAD) and do not include applicable sales tax (GST/HST/PST as applicable to your province), which is calculated at checkout.

3. Duties, Customs & Import Fees

Codae imports inventory in bulk and holds stock in a Canadian warehouse. Duties and customs fees on that inventory are paid by Codae upfront, so unlike ordering directly from an overseas retailer, you will not be charged additional customs or duty fees on delivery within Canada.

4. Orders & Payment

ORDER ACCEPTANCE
By placing an order, you are making an offer to purchase the item(s) in your cart. We reserve the right to accept or decline any order for any reason, including suspected fraud, pricing errors, or inventory unavailability. If we cancel an order after payment has been taken, you will receive a full refund.

PAYMENT
Payment is processed securely through Shopify Payments and the other providers shown at checkout, including PayPal and Apple Pay. Codae does not store your full payment card details.

5. Shipping & Returns

Shipping timelines and costs are set out in our Shipping Policy, and our return and refund process is set out in our Return & Refund Policy, both available on the Site and incorporated into these Terms by reference.

Risk of loss and title for items purchased pass to you upon delivery to the carrier.

6. Accounts & Acceptable Use

ACCOUNT REGISTRATION
If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Please notify us immediately at support@codae.ca of any unauthorized use.

ACCEPTABLE USE
You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to the Site or its systems
  • Interfere with the Site's operation, including through bots, scraping, or denial-of-service attacks
  • Submit false, misleading, or fraudulent information, including fraudulent orders or payment details

7. Intellectual Property & User Content

OUR CONTENT
All content on the Site — including the Codae name and logo, product photography, graphics, and written content — is owned by or licensed to Codae and is protected by Canadian and international copyright and trademark law. You may not copy, reproduce, or use this content without our written permission. Third-party brand names and product designs sold through Codae remain the property of their respective owners.

YOUR CONTENT
If you submit reviews, photos, or other content — including tagging Codae on social media — you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content for marketing purposes, including on the Site and our social channels. You confirm you have the right to grant this license.

8. Liability & Indemnification

LIMITATION OF LIABILITY
To the fullest extent permitted by law, Codae is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or purchase of products, including but not limited to loss of use, data, or profits. Our total liability for any claim relating to a purchase is limited to the amount you paid for the product(s) giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian consumer protection law.

INDEMNIFICATION
You agree to indemnify and hold Codae harmless from any claims, losses, or damages arising from your violation of these Terms or misuse of the Site.

PRIVACY
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).

CHANGES TO THESE TERMS
We may update these Terms from time to time. Changes take effect once posted to the Site. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

GOVERNING LAW
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
